Article III: Officers of the Board of Trustees and the Corporation

Section 1. Composition and Size
The officers of the Board of Trustees and the Corporation shall be the same and shall consist of a Chair, Vice-chair, Secretary and Treasurer.

Section 2. Duties
A. Chair
It shall be the duty of the Chair of the Board of Trustees to preside at all meetings of the Board. The Chair shall perform this role as outlined in the Policy Manual.

B. Vice-Chair
The Vice-Chair, in the absence of the Chair, shall perform all duties of the Chair as stated above. The Vice-Chair shall also serve as Chair of the Trusteeship Committee. (See Article IV).

C. Secretary
The Secretary shall keep minutes of all meetings of the Board and record and update all changes in the Board Policy Manual. The Secretary shall distribute minutes of the meeting and any revisions to the Board Policy Manual to the Trustees and the President following the meeting, in a timely manner. The official copies of the minutes and the Board Policy Manual shall be maintained in the office of the Corporation. Along with the Chair, the Secretary shall sign all diplomas and legal documents as may be required as an officer of the Corporation, when acting upon authority of the Board of Trustees. The Secretary shall send written notice of all regular meetings of the Board to all Trustees at least thirty days prior thereto, and of all special meetings of the Board at least ten days prior thereto.

D. Treasurer
The Treasurer shall fulfill all customary requirements as set forth by law for the position of Treasurer.

E. Additional General Duties of Officers

1. As a group, the officers will review the performance of the President annually, with particular attention to the President’s adherence to the established policies found in the Board Policy Manual. A report of this annual review will be given at the May Board meeting.

2. The officers will negotiate contractual and compensation matters between the President and the Institution. The contract will be presented to the Board, sitting in executive session, for consideration and approval.

3. The Board Chair and the President shall be ex officio members of all committees.

Section 3. Nomination, Election, and Terms
A. At the May meeting in the year which concludes an officer’s term, the Trusteeship Committee shall nominate officers for election by the Board, to serve for the appropriate terms as outlined below.

B. The officers shall serve for terms of two years each. They may serve a maximum of three consecutive two-year terms or until their successors have been duly elected. Following completion of three consecutive terms of service, a member may not serve in the same office until a successor has been elected and has served in that capacity for at least one term. At that time, the member may again stand for election to the previously-held post.
