Article IV: Committees-Duties and Nomination of Members

Section 1. Standing and Other Committees
The Board shall maintain three standing committees: Trusteeship Committee, Business Affairs Committee, and Executive Committee. The Board may appoint other committees as needed.

Section 2. Trusteeship Committee
A. The Trusteeship Committee shall serve the following purposes and others as directed by the Board:

1. Nurture the integrity and vitality of the Board

2. Oversee the nomination, orientation, mentoring, training, and evaluation of Board members.

3. Serve as the nominating committee for all members and officers of the Board and its committees, other than itself.

4. Review and propose revisions to the By-laws and Board Policy Manual, on an annual basis, as needed.

B. The Trusteeship Committee shall be constituted as follows:

1. The Board Chair will recommend candidates.

2. The Executive Committee will nominate candidates.

3. The Board will elect candidates to the Trusteeship Committee

4. The Vice-Chair shall serve as chair of the Trusteeship Committee, and will serve a two-year term.

5. No other officer of the Board may concurrently serve on the Trusteeship Committee

6. Committee members shall be elected annually.

Section 3. Business Affairs Committee
The Business Affairs Committee shall serve in the following functions, and in others as assigned by the Board:

A. The committee shall review the projected and fiscal operating budgets of the University and the annual certified audit and the management letter, before submission to the Board.

B. The committee shall review the investment criteria, performance, and administration of the various funds of the University and shall be authorized to make investment decisions as outlined in the Board Policy Manual.

Section 4. Executive Committee
A. Consistent with Robert’s Rules of Order, the Executive Committee, whose actions shall always be subject to the approval of the Board, shall conduct any business authorized by the Board and other urgent business that cannot be reasonably deferred until the next Board meeting. It may not countermand any action taken by the Board without the Board’s express permission.

B. The Executive Committee shall be composed of six members as listed below:

1. The four Officers

2. The Business Affairs Committee chair

3. One at-large member shall be filled by nomination from the Trusteeship Committee and by election by the Board at any duly convened meeting of the Board.

C. A majority of the Executive Committee shall constitute a quorum for transaction of business.

D. Vacancies occurring in the Executive Committee shall be filled by nomination from the Trusteeship Committee and by election by the Board at any duly convened meeting of the board.
