Article VI: Meetings

A. All meetings of the Board of Trustees shall be held at the office of the corporation, located at 315 East University Avenue, Greenville, Illinois, unless the board shall direct otherwise.

B. Robert’s Rules of Order, in the latest edition, shall be the standard of parliamentary procedure for the Board of Trustees.

C. Regular meetings of the Board of Trustees shall be held three times annually, the first between October 1 and November 30, the second in February or March, and the third in May before the Commencement exercises. The secretary of the Board shall send written notice of meetings to Board members thirty days in advance.

D. A majority of current members of the board shall constitute a quorum for the transaction of business at regular meetings. As a special exception, members unable to attend in person may be considered to be present if they participate via communications equipment that allows all persons participating in the meeting to hear each other simultaneously.

E. Special meetings of the Board shall be called whenever, in the judgment of the Officers of the Corporation, the interests of the Institution require it. Such meetings may occur in person, via conference call, or via e-mail, and the quorum requirement shall be ¾ of the members of the Board. The Secretary shall provide written notice for such special meetings (including via electronic mail) at least ten days in advance, but this requirement may be waived by affirmative vote of ¾ of the members of the Board.

F. When Board action takes place via electronic means, written documentation of affirmative vote (including via e-mail) must be obtained from no fewer than ¾ of the members of the Board. This
documentation from each member shall include the nature of the action. The Secretary shall file record of such action, along with written trustee approvals, with the minutes of the meeting.

G. Newly-elected Board members shall be eligible to vote immediately following their election.

H. Any action of the Executive Committee shall be reviewed at the next meeting of the Board of Trustees.

I. An Executive Session shall be held at each regular meeting, at which only duly elected members may attend, unless the chairperson specifically invites other persons as appropriate. The purpose of the Executive Session shall be to discuss matters that may require a higher level of confidentiality such as personnel matters, litigation, contract negotiation, real estate transactions, and other sensitive matters.
